Yellow.ai SPAC Plan Backs AI-Led Call Centre Roll-Up

Yellow.ai's public-market plan is not just a software listing.

The enterprise AI company has agreed to merge with Bluerock Acquisition Corp, The Next Web reported, and the deal would give it public shares and acquisition capital for the call-centre operators it wants to automate.

The proposed company would trade on Nasdaq as YAI.

The transaction gives Yellow.ai a pro forma equity value of about $550 million and is expected to deliver more than $200 million in proceeds, subject to Bluerock shareholder approval and a planned closing in the second half of 2026.

Automation Plan Extends Into Ownership

Yellow.ai sells agentic AI systems that convert service procedures into task-planning agents. the company says it handles 16 billion conversations a year for more than 650 enterprise clients and recorded over $34 million in unaudited revenue last year.

The proceeds would push the company beyond a conventional platform model.

Yellow.ai has earmarked money to buy business process outsourcing firms, then rebuild those customer-service operators on its own software.

That would put the company inside the labour budgets it is trying to shrink, rather than only selling software licences to outside support desks.

Yellow.ai pegs outsourcing at a $384 billion market where about 85% of service calls are still answered by people, The company projects the market will reach $906 billion by 2035 and that the AI-agent segment will grow from $12 billion to $295 billion.

SPAC Route Leaves Financing Risk

The structure also carries execution risk.

The Next Web cited Unite.ai as noting that Yellow.ai's roughly $300 million pre-money valuation is about nine times its reported revenue, while the SPAC proceeds depend on how many Bluerock investors choose redemption before the vote.

That financing condition matters because the acquisition plan is central to the story.

A pure software vendor can expand through product sales and channel partnerships; a company buying outsourcing operators also takes on payroll, attrition, integration and client-contract risk.

The automation thesis has to work inside acquired service businesses, not only in customer pilots.

Yellow.ai does have operating signals to point to. the company was founded in 2016, counts Lightspeed and Salesforce Ventures among its backers, has a Forrester Strong Performer rating and says voice AI is its fastest-growing product line.

Bluerock shareholders still have to vote, and the closing documents will determine how much cash remains available for the roll-up after redemptions.
