Schneider Electric Lines Up $22.6 Billion PTC Deal
Schneider Electric plans to buy PTC in a cash transaction valuing the US engineering software provider’s equity at about $22.6 billion, adding product-lifecycle software to its industrial AI push.

Silicon Republic reported that Schneider Electric has agreed to buy US engineering software provider PTC in a cash transaction valuing the company’s equity at about $22.6 billion, extending the French group’s push into industrial software and AI.
PTC shareholders are set to receive $205 a share in cash.
The offer represents a 42.3pc premium to PTC’s last closing price and implies an enterprise value of $23.7 billion, based on Schneider’s transaction terms.
The deal would add PTC’s product-design and lifecycle software to Schneider’s existing energy management and automation portfolio.
Schneider framed the acquisition around industrial AI moving from digital applications into physical products, machines, processes and energy systems, where customer data has to travel across design, control, operations and maintenance workflows.
That structure gives the transaction a software-platform logic rather than a simple scale acquisition.
Schneider described the goal as an open and interoperable industrial software and AI franchise that connects physical and digital systems across the life cycle.
Chief executive Olivier Blum called the acquisition a step toward leading what the company sees as a new era of energy and industrial intelligence.
PTC brings Schneider a Boston-based software business serving manufacturers and product companies that use its tools to design, build and maintain products.
PTC president and chief executive Neil Barua described the combination as a way to broaden the scope and impact of the company’s work for global customers as product data becomes more important in AI-driven industrial environments.
The purchase would also mark a major expansion for Schneider.
The Financial Times identified the PTC deal as Schneider’s largest takeover to date, while Silicon Republic noted that the energy group is France’s third-largest listed company with a value of about $196 billion.
Schneider has already been adding industrial data and AI assets.
In July, the company agreed to buy Cognite in an all-cash transaction worth $3.1 billion, giving the PTC agreement a second large software move within the same year.
The PTC transaction is expected to close by the third quarter of 2027, subject to customary closing conditions.
Schneider is scheduled to announce its third-quarter 2026 financial results on 16 October.
